In consideration of Tarshay Pty Ltd providing the undersigned with certain information and details of the business /es offered for sale by the Agent, we the undersigned acknowledge that all material and communications will be treated and kept permanently confidential and shall not be disclosed, copied, reproduced or distributed to any person or company in any form whatsoever without the prior written consent of “Tarshay Pty Ltd.”
The confidential information is to be used only for the purpose of evaluating whether or not you wish to make an offer to acquire the business. You are also required to limit disclosure of the information to only those of your employees and professional advisors who reasonably require knowledge of it to assess the suitability of the business for acquisition and to ensure that such employees and advisors preserve the confidentiality.
We also require an undertaking that: -
1. Your knowledge that the business is for sale will be kept confidential.

2. You will not use the fact that the business is for sale for competitive advantage.

3. You will not approach the directors/owners and staff of the business, either directly or indirectly concerning the sale of the business.

4. You understand that the information provided by the vendor to the Agent has not been verified by the Agent for its accuracy, and that such information may not be complete and may not be all that is necessary to accurately evaluate the business you are enquiring about. The Agent shall endeavour to provide such other information as you may request about the business.

5. You acknowledge that the Agent does not verify the completeness or accuracy of any information provided, and that you will rely on your own investigation of the business to decide its suitability for you.

6. You agree to release the Agent and its employees harmless against any action, claims, damages or demands against the Company by virtue of inaccuracy or incompleteness of any information provided by the Agent in the course of inquiring about the business / es.

7. If requested by “Tarshay Pty Ltd” you will promptly return all documents and other tangible items (including copies) disclosed or provided to you.
